1. Services Provided. The scope of Services provided (the “Services”) shall be contained in Exhibit A attached hereto and subject to any additional Services as approved in writing by the Parties.

2. Authorization. CLIENT hereby certifies that they have the legal right to authorize Services for the above listed vehicle, either through legal ownership, lease rights, or written authorization from the vehicle's owner. CLIENT authorizes COMPANY to take the steps necessary to perform the Services listed in this Agreement, including any necessary on-road vehicle testing.

3. Payment. CLIENT Agrees to pay for the entirety of costs for parts and 50% of estimated costs for labor prior to the commencement of work. The remaining balance shall be paid after completion of all listed Services prior to picking up their vehicle, or on a weely basis based on services completed for that week. Client acknowledges and agrees that parts and labor costs are strictly estimates, and certain projects may require additional parts and labor which shall be payable and due when complete. If circumstances outside of COMPANY’s control prevent COMPANY from completing the Services, CLIENT will be responsible for payment terms set forth at COMPANY’s discretion. If the project is a project beyond one (1) week, COMPANY may require weekly progress payments for the Services completed for that week. CLIENT also has the option to pay in full for the Services up front.
CLIENT agrees to pay for all parts, labor, fees, taxes, and other charges incurred during the performance of any Services authorized by CLIENT. COMPANY will provide an invoice upon completion of Services detailing all fees, and listing a final outstanding balance for payment. Payment must be made in full before the vehicle will be returned to CLIENT.

4. Acknowledgement. CLIENT acknowledges that aftermarket parts, modifications, or Services may lead to lease or finance violations, reduction in vehicle value, and/or may potentially void 1. any vehicle warranties. CLIENT also acknowledges and understands that modifying vehicles may result in damage to OEM components that were not designed for an increase in horsepower, torque, or otherwise, which can be costly. CLIENT acknowledges and agrees that they are aware of these risks and assume any all costs or damages associated with modifying the vehicle, and/or
the Services provided by COMPANY.

5. Company Right of Refusal. COMPANY reserves the right to exercise professional judgment and refuse to perform Services utilizing parts which are deemed inadequate or unsafe, or performing Services on vehicles which are deemed unsafe, or vehicles that are not a good fit in COMPANY’s sole discretion.

6. Additional Services. No Services outside of those described in this Agreement will be performed by COMPANY without prior written approval from CLIENT.

7. Penalty for Non-Payment. COMPANY shall not be required to release the above listed vehicle until CLIENT has made full payment for all part costs and/or Services rendered by COMPANY. In the event that Services rendered are not paid for within 30 days of completion, COMPANY reserves the right, and CLIENT authorizes COMPANY, to initiate a mechanic’s lien in order to sell the vehicle to recover the costs incurred while performing the Services.

8. Non-Disclosure and Non-Disparagement. CLIENT shall keep strictly confidential the contents of this Agreement, as well as any Proprietary Information, and that their company, associates, corporations, joint ventures, partnerships, divisions, subsidiaries, employees, agents, contractors, heirs, assigns, designees, or consultants will not disclose any information without the prior written consent of COMPANY. CLIENT agrees to take no action which is intended, or would reasonably be expected to result in harm to COMPANY, including but not limited to COMPANY’s owners, employees, agents, affiliates, customers, vendors and consultants, or its or their reputation, or which would reasonably be expected to lead to unwanted or unfavorable publicity to COMPANY, and anyone directly or indirectly affiliated therewith.

9. Independent Contractor. Both COMPANY and CLIENT acknowledge and agree that all Services rendered hereunder shall be rendered by COMPANY as an independent contractor and this Agreement does not create an employer-employee relationship.

10. Publicity and News Releases. CLIENT shall not originate any publicity, news release or other public announcement, written or oral, relating to this Agreement without the other Party’s prior written consent.

11. Release of Liability. CLIENT hereby absolutely and forever, fully release and discharges COMPANY, as well as COMPANY’s officers, directors, agents, shareholders, insurers, heirs, relatives, representatives, affiliates, employees, predecessors, successors, assigns, business entities, and attorneys from any and all claims, rights, damages, debts, liabilities, accounts, reckonings, obligations, costs, expenses, liens, for any and all damages, which they now have, own or hold, or at any time heretofore had, owned, or held, arising out of, based upon or related to, or by any reason of any contract (express, implied in fact or implied by law), lien, liability, matter, cause, fact, thing, act or omission whatsoever, including negligence, occurring or existing at any time on, after, or prior to the date hereof, provided however, that the promises, warranties, covenants, and obligations contained herein shall survive the releases set forth herein.

12. Indemnification. Each Party shall indemnify, defend and hold the other Party harmless from all liabilities, costs and expenses (including, without limitation, attorneys’ fees) that such Party may suffer, sustain or become subject to as a result any misrepresentation or breach of warranty,
covenant or agreement of the indemnifying Party contained herein or the indemnifying Party’s gross negligence or willful misconduct in performance of its obligations under this Agreement.

13. Binding. This contract shall be considered binding upon both parties and their assignees or successors, including subsequent title holders for the vehicle.

14. Entire Agreement. This Agreement represents the entire legal agreement between COMPANY and CLIENT. No other promises or arrangements outside of this Agreement and subsequent Services authorizations shall be considered valid

15. No Conflict. Each Party represents that they are not a party to any existing agreement which would prevent them from entering into this Agreement.

16. Governing Law. This Agreement shall be governed by the laws of the State of Texas without reference to the conflicts of laws principles thereof that would cause the application of the laws of another jurisdiction.
